Purchase price:  9.5 cents per share

Warrants:  800,000 share purchase warrants to purchase 800,000 shares

Warrant exercise price:  12.5 cents for a one-year period

Number of placees:   four placees

Aggregate existing insider involvement:  four insiders, 3.2 million shares

The company issued a news release on May 26, 2023, confirming closing of the private placement.
