PUREBREAD BRANDS INC. ANNOUNCES CLOSING OF NON-BROKERED PRIVATE PLACEMENT

Purebread Brands Inc. has closed its previously announced non-brokered private placement offering of 13,333,000 units of the company at a price of 15 cents per offered unit for aggregate gross proceeds of $1,999,950. Each offered unit comprises one common share in the capital of the company and one-half of one common share purchase warrant, with each warrant exercisable by the holder to acquire one common share at an exercise price of 30 cents per common share for a period of 24 months from the date of issuance.

In connection with the private placement, the company paid a commission of $99,997.50 and issued 666,650 finder's warrants to a finder. Each finder's warrant entitles the holder thereof to acquire one common share of the company at a price of 30 cents per common share for a period of 24 months from closing.

"We are pleased to close this upsized $2-million round, which reflects strong investor confidence in our vision," commented Purebread chief executive officer Christian Bullock. "These funds will enable us to accelerate new store openings and drive the next phase of growth as we expand into additional high-quality markets."

The proceeds of the private placement will be used to primarily finance new store openings and for general working capital purposes.

The private placement remains subject to final acceptance from the TSX Venture Exchange. All securities issued in connection with the private placement will be subject to a four-month hold period from the closing date under applicable Canadian securities laws, in addition to such other restrictions as may apply under applicable securities laws of jurisdictions outside Canada.
