The TSX Venture Exchange has accepted for filing Anquiro Ventures Ltd.'s (now Black Pine Resources Corp., the company) qualifying transaction (the QT) as principally described in the company's filing statement dated May 14, 2026.

The QT includes the following matters, all of which have been accepted by the exchange.

Qualifying transaction completed/new symbol

Pursuant to an arm's-length business combination agreement dated Oct. 14, 2024, as amended, among the company and Black Pine Resources Corp. (BP Resources), a private entity, all outstanding BP Resources shares were exchanged for shares of the company, and BP Resources amalgamated with 1504671 B.C. Ltd., formerly a wholly owned subsidiary of the company, by way of a three-cornered amalgamation.

Consideration was 30,281,728 shares of the company. These consideration shares include those shares associated with the financing undertaken by BP Resources, but excludes the non-brokered private placement undertaken by the company.

Pursuant to an agreement dated April 12, 2022, as amended, the company may earn up to a 100-per-cent interest in the Sugarloaf property, New Mexico.

In connection with the QT, BP Resources completed the BP financing, which raised gross proceeds of $1,435,000.
