THE PRECISION PEPTIDE COMPANY INC. ANNOUNCES UP TO $2 MILLION LIFE OFFERING OF COMMON SHARES

The Precision Peptide Company Inc. intends to undertake a non-brokered private placement of a minimum of three million and up to four million common shares in the capital of the company at a price of 50 cents per share for minimum gross proceeds of $1.5-million and up to $2-million.

The offering is being completed pursuant to the listed issuer financing exemption under Part 5A of National Instrument 45-106, Prospectus Exemptions, as amended by Coordinated Blanket Order 45-935, Exemptions from Certain Conditions to the Listed Issuer Financing Exemption, to purchasers resident in each of the provinces of Canada, except Quebec. The shares issued pursuant to the LIFE (listed issuer financing exemption) will not be subject to a hold period in accordance with applicable Canadian securities laws. The company intends to use the net proceeds from the offering for general working capital purposes, to advance its business objectives, to finance marketing initiatives, and to support the procurement of inventory and products.

Closing of the offering is expected to occur on or about June 25, 2026, and may occur in one or more tranches, and completion of the offering is subject to certain conditions, including, but not limited to, the receipt of all necessary approvals. The company may pay finders' fees in connection with the offering to eligible arm's-length finders in accordance with the policies of the Canadian Securities Exchange.
