BOLT METALS CLOSES SECOND TRANCHE OF LIFE OFFERING AND COMPLETES UNIT PRIVATE PLACEMENT
Bolt Metals Corp. has closed the second tranche of its previously announced non-brokered listed issuer financing exemption (LIFE) offering, as well as closed the company's non-brokered unit private placement.
Under the second tranche of the LIFE offering, the company issued a total of 350,000 units at a price of 20 cents for gross proceeds of $70,000. Each LIFE unit consists of one common share and one common share purchase warrant. Each LIFE warrant entitles the holder to acquire one additional common share at a price of 40 cents for a period of 24 months from the date of issuance and becomes exercisable 60 days after closing. The company intends to use the net proceeds from the LIFE offering for general working capital and corporate purposes.
In addition to the LIFE offering, the company has closed its unit offering, issuing an aggregate of 15 million units at a price of 20 cents per unit, for total gross proceeds of $3-million. Each unit consists of one common share of the company and one common share purchase warrant. Each warrant will entitle the holder to acquire one additional common share at an exercise price of 40 cents per warrant for a period of 36 months from the date of issuance.
In connection with the unit offering and LIFE offering, the company paid aggregate cash finders' fees totalling $129,540 and issued 641,500 finders' warrants. Each finder's warrant is exercisable to acquire one common share at a price of 20 cents for a period of 24 months from issuance.
Including the first tranche of the LIFE offering, which closed on Nov. 19, 2025, and raised gross proceeds of $430,000, Bolt Metals has now raised an aggregate of $3.5-million across both the LIFE offering and unit offering.
