BOLT METALS ANNOUNCES NON-BROKERED PRIVATE PLACEMENT

Bolt Metals Corp. intends to complete a non-brokered private placement of up to 46,153,846 common shares in the capital of the company at 1.3 cents per share for a target amount of up to $600,000.

All shares issued pursuant to the private placement will be subject to a hold period of four months plus one day from the date of issuance and the resale rules of applicable securities legislation. The closing of the private placement is subject to certain conditions, including, but not limited to, the receipt of all necessary regulatory and other approvals. The company may close the offering in one or more tranches. Insider participation is not anticipated at this time. The proceeds from the private placement will be general working capital.

In connection with the private placement, the company may pay finders' fees to qualified non-related parties, in accordance with the policies of the Canadian Securities Exchange.
