The TSX Venture Exchange has accepted for filing documentation with respect to the arm's-length acquisition of 100-per-cent interest in certain assets including certain leases and options to purchase mineral titles and interest in lands and premises in Idaho, United States (the assets). The assets include two option agreements to purchase up to 100-per-cent interest in the Government Gulch property (of which 75 per cent has been exercised) and up to 100-per-cent interest in the Page mine property.

If the remaining 25.0 per cent of the Government Gulch property is not exercised by Dec. 31, 2025, the option agreement becomes a joint venture agreement. A 2.0-per-cent NSR (net smelter return) is payable to any joint venture participant whose interest falls below 10 per cent on the Government Gulch property. One per cent of the NSR may be bought back for $1-million (U.S.).

As a part of the purchase, the company assumes the vendor's royalty obligations of a 0.5-per-cent NSR on the Government Gulch property, and a 1.0-per-cent NSR on the Page mine property. The Page mine royalty is subject to a 0.5-per-cent NSR repurchase option at any time for $500,000 (U.S.).
