Boreal Metals Corp.'s short form offering document dated Oct. 6, 2017, was filed with and accepted by the TSX Venture Exchange on Oct. 5, 2017. The exchange has now been advised that the offering closed on Nov. 21, 2017.

Agent:  PI Financial Corp.

Offering:  6,666,666 units, each consisting of one common share and one-half of one transferable common share purchase warrant; each whole warrant will entitle the holder thereof to purchase one additional common share for a period of two years from the date on which the offering closes at an exercise price of 50 cents per warrant share

Price:  30 cents

Agent's commission:  The agent received a cash commission of $352,000 which is equal to 8 per cent of the gross proceeds received by the company in respect of units sold by the agent under the offering and a concurrent brokered private placement.

Agent's warrants:  The agent also received 533,333 non-transferable agent's warrants, equal to 8 per cent of the units sold under the offering. Each warrant will entitle the agent to purchase one additional common share for a period of 18 months from the closing date at an exercise price of 30 cents. The agent also received 600,000 units as a corporate finance fee, with 400,000 having the same composition as the units under the offering and 200,000 having the same composition as the units offered under a concurrent brokered private placement, being one common share and one common share purchase warrant, each exercisable on the same terms and conditions as the warrants under the offering.
