BATTERY MINERAL RESOURCES ANNOUNCES ADOPTION OF NEW STOCK OPTION PLAN AND AMENDED PSU/RSU PLAN

At Battery Mineral Resources Corp.'s annual general meeting of shareholders held on Sept. 23, 2026, in Vancouver, B.C., shareholders approved:

  • A new 10-per-cent rolling stock option plan to replace the company's previous stock option plan;
  • The adoption of an amended performance share unit and restricted share unit plan (the 2026 PSU/RSU plan) to replace the company's previous 2021 RSU plan.

The new stock option plan was approved by ordinary resolution in accordance with TSX Venture Exchange Policy 4.4, Security Based Compensation, and was adopted by the board of directors of the company on Sept. 29, 2026. Under the new stock option plan, the maximum number of common shares issuable upon the exercise of outstanding stock options at any time continues to be 10 per cent of the company's issued and outstanding common shares on a non-diluted basis.

The 2026 PSU/rsu plan was adopted by the board on Aug. 19, 2026, subject to shareholder and TSX-V approval. At the meeting, the adoption of the 2026 PSU/RSU plan and the reservation of 25 million common shares of the company for issuance thereunder were approved by ordinary resolution of disinterested shareholders (majority of the minority) in accordance with TSX-V Policy 4.4. The 2026 PSU/RSU plan remains subject to final acceptance by the TSX-V.
