The TSX Venture Exchange has accepted for filing the company's proposal to issue 1.24 million shares at a deemed price of 12 cents per share to settle outstanding debt for $148,800.

Number of creditors:   two creditors

Aggregate non-arm's-length party involvement:  one group, $114,000, 12 cents a share, 950,000 shares

The company shall issue a news release when the shares are issued and the debt extinguished.
