Number of shares:   6.05 million flow-through shares and 13,581,428 non-flow-through shares

Purchase price:  7.5 cents per flow-through share and seven cents per non-flow-through share

Number of placees:  17 placees

Aggregate existing insider involvement:   two insiders, 3,982,383 shares

Finder's fee:  $22,102, 750,000 shares, 1,046,800 warrants

Finders' warrants terms:   781,500 of the finders' warrants entitles the holder to purchase one common share at the price of seven cents per share, and 265,300 of the finders' warrants entitles the holder to purchase one common share at the price of 7.5 cents per share for period of two years from the date of issuance

The company issued a news release on Dec. 21, 2023, confirming closing of the private placement. Additionally, the company issued press releases announcing an increase of the private placement on Dec. 7, 2023.
