BLACKHAWK GROWTH CORP NON-BROKERED PRIVATE PLACEMENT OFFERING

Blackhawk Growth Corp. intends to undertake a non-brokered private placement offering of up to 28 million shares at 1.8 cents per share for gross proceeds of up to $504,000.

All securities issued under the offering are subject to a four-month-and-one-day statutory hold period. The net proceeds from the sale of the shares will be used to finance general working capital. Finders' fees may be payable to qualified individuals, pursuant to which the finder may receive a finder's fee equal to up to 8 per cent of the gross proceeds received by the company from purchasers under the offering who were introduced to the company.

Shape Capital has agreed to convert $500,000 of the outstanding loan by issuing 10 million shares at five cents each. The conversion reduces the debt by 22 per cent and further strengthens Blackhawk's balance sheet.
