BLENDER BITES FILES AMENDED AND RESTATED OFFERING DOCUMENT FOR BROKERED FINANCING OF UP TO $5M

Blender Bites Ltd. has filed an amended and restated offering document (as defined below) for its previously announced (May 30, 2023) brokered private placement offering of units of the company to raise up to $5-million.

The units will be offered to purchasers resident in the provinces and on the terms set forth in the offering document, pursuant to the listed issuer financing exemption under Part 5A of National Instrument 45-106 -- Prospectus Exemptions, and will not be subject to a hold period pursuant to applicable Canadian securities laws. The offering is expected to close in tranches, with the first tranche expected to close on or about June 20, 2023, or on such other date as may be determined by the company, and the final tranche is expected to close on or about July 20, 2023, but, in any event, on or before a date not later than 45 days after the date of the filing of the offering document.

There is an amended and restated offering document dated June 14, 2023, related to the offering that can be accessed under the company's profile at SEDAR and on the company's website. Prospective investors should read this offering document before making an investment decision. The company intends to use the net proceeds for general working capital purposes, as more particularly described in the offering document. The offering document amends and restates the offering document filed by the company on May 30, 2023, and now includes a minimum offering amount required to meet the company's business objectives and liquidity requirements for a period of 12 months.
