BIOHARVEST SCIENCES INC. ANNOUNCES GRANT OF RESTRICTED SHARE UNITS AND WARRANTS

Bioharvest Sciences Inc. has granted 700,000 restricted share units (RSUs) to a consultant pursuant to its equity incentive compensation plan and consulting agreement, respectively.

The RSUs are issued at a deemed price of 26 cents per share unit and will be released in increments of 200,000, 250,000, 125,000 and 125,000 RSUs, upon the company achieving various revenue milestones in 2024. In the event of termination of the consultant's engagement prior to the lapse of 12 months from the effective date, any unvested RSUs shall immediately expire.

In addition, the company has granted 300,000 warrants to a consultant assigned to assist with the smooth transition of the company's production capacity to its new 80,000-square-foot facility in Yavne, Israel (see news release issued April 16, 2024), and to secure the necessary approvals from local authorities. Each warrant is exercisable into one common share of the company at a price of 26 cents for a term of two years from the date of issuance.
