The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Oct. 31, 2023.

Number of shares:  29,528,458 common shares

Purchase price:  17.5 cents per flow-through share

Warrants:  29,528,458 share purchase warrants to purchase 29,528,458 common shares

Warrant exercise price:  14,764,229 warrants at 36 cents per share and 14,764,229 warrants at 40 cents per share for a period of five years

Number of placees:  10 placees

Total insider involvement:  28,942,858 (five insiders)

The company has issued a new release announcing the closing of the private placement and setting out the expiry dates of the hold periods. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
