Convertible debenture:  $5,167,480.25 principal amount

Conversion price:  convertible into up to 25,837,399 common shares at 20 cents per share until maturity

Maturity date:  three years from issuance

Interest rate:  8 per cent per annum

Number of placees:  10 placees

Total insider involvement:  $5,065,000.25 (five insiders)

Pursuant to corporate finance Policy 4.1, Section 1.9(e), the company has issued a news release announcing the closing of the private placement and setting out the expiry dates of the hold periods.
