Bee Vectoring to issue 7.4 million shares for debt

2024-07-02 18:09 ET - News Release

Mr. Ashish Malik reports

BEE VECTORING TECHNOLOGIES ANNOUNCES DEBT SETTLEMENT

Bee Vectoring Technologies International Inc. has entered into debt settlement agreements to fully settle outstanding debts owed to three creditors and one director for M&A (merger and acquisition) advisory services, expenses for reimbursement and directors fees. Pursuant to the settlement agreements, the company has agreed to issue an aggregate of 7,409,715 common shares at a deemed price of 1.5 cents per share, based on a 20-day VWAP (volume-weighted average price). The disinterested directors of the company approved the settlement agreement with the noted insider of the company.

The company anticipates closing the share settlement on or about July 9, 2024. The share settlement will settle $111,145.74 in debts owed to the creditors, which is the full settlement for the total amounts of bona fide debts owed to the creditors.

The board of directors of the company has determined that it is in the best interests of the company to settle the outstanding debts by the issuance of the shares in order to preserve the company's cash for working capital.

The company will be relying on the employee, executive officer, director and consultant exemption contained in Section 2.24 of National Instrument 45-106, Prospectus Exemptions, to issue an aggregate of 3,766,666 shares to two of the creditors. The Canadian Securities Exchange has waived the requirement to impose a four-month-and-one-day hold period on these shares. The balance of the shares will be subject to a statutory hold period of four months plus a day from issuance in accordance with Canadian securities laws.

The debt settlement with the insider of the company is exempt from the valuation and minority shareholder approval requirements of Multilateral Instrument 61-101, by virtue of the exemptions contained in sections 5.5(a) and 5.7(1)(a) of MI 61-101, in that the fair market value of the consideration for the securities of the company to be issued to the insider does not exceed 25 per cent of its market capitalization.

About Bee Vectoring Technologies International Inc.

Bee Vectoring, an agriculture technology company, is a market disruptor with a significant global market opportunity in the $240-billion crop protection and fertilizer market. Bee Vectoring's award-winning technology, precision vectoring, is completely harmless to bees and allows minute amounts of naturally derived pesticides (called biologicals) to be delivered directly to blooms, providing improved crop protection and yield results than traditional chemical pesticides -- and improving the health of the soil, the microbiome and the environment. Currently, Bee Vectoring has over 55 granted patents and many more patents pending in all major agricultural countries worldwide, and has U.S. Environmental Protection Agency (EPA) registration of its Vectorite with CR-7 (EPA registration No. 90641-2), for sale as a registered biological fungicide for use on the labelled crops.
