BEAUMONT EXPLORATION CORP. ANNOUNCES CLOSING OF PRIVATE PLACEMENT

Beaumont Exploration Corp. has completed its previously announced non-brokered private placement consisting of: (i) 430,000 units of the company at a price of 12 cents per unit; and (ii) 170,000 flow-through shares at a price of 12 cents per flow-through share for aggregate gross proceeds of $72,000. Each unit consists of one common share of the company and one common share purchase warrant. Each warrant entitles the holder to purchase one additional common share of the company at an exercise price of 15 cents per common share for a period of 24 months from the date of the closing of the private placement.

Each flow-through share qualifies as a flow-through share (within the meaning of Subsection 66(15) of the Income Tax Act (Canada)).

The company, pursuant to the provisions in the tax act, shall use an amount equal to the gross proceeds of the sale of the flow-through shares to incur eligible resource exploration expenses, which qualify as Canadian exploration expenses as such term is defined in the tax act, prior to Dec. 31, 2027. The company intends to renounce the qualifying expenditures so incurred to the purchasers of the flow-through shares effective on or before Dec. 31, 2026.

The company intends to use the net proceeds from the sale of the units for working capital and exploration purposes.

The offered securities will be subject to a four-month-and-one-day from the closing of the private placement.
