BADGER ANNOUNCES VOTING RESULTS OF 2026 ANNUAL AND SPECIAL MEETING OF SHAREHOLDERS

All of the motions put forward at Badger Infrastructure Solutions Ltd.'s annual and special meeting of shareholders held on May 1, 2026, were approved by its shareholders. A total of 27,386,225 common shares in the capital of the company, representing approximately 81.17 per cent of the issued and outstanding common shares, were represented in person (including virtually) or by proxy at the meeting.

All 10 director nominees proposed by management were elected. The results of the vote are detailed in the attached table.

Further, the results of the vote for the following items of business, each as further described in the company's notice of meeting and management information circular dated March 5, 2026, were as follows:

  • 27,374,120 (99.96 per cent) votes in favour of appointing Deloitte LLP as the company's auditor;
  • 26,275,385 (98.07 per cent) votes in favour of the company's approach to executive compensation;
  • 26,765,995 (99.90 per cent) votes in favour of the amendments to the company's articles;
  • 26,771,372 (99.92 per cent) votes in favour of the amendments to the company's bylaws;
  • 26,384,999 (98.50 per cent) votes in favour of the adoption of the company's shareholder rights plan.
