("Badger", the "Company", "we", "our" or "us") (TSX: BDGI) is pleased to announce that all of the motions put forward at its annual and special meeting of shareholders held on May 1, 2026 (the "Meeting") were approved by its shareholders. A total of 27,386,225 common shares in the capital of the Company, representing approximately 81.17% of the issued and outstanding common shares, were represented in person (including virtually) or by proxy at the Meeting.
All ten director nominees proposed by management were elected. The results of the vote were as follows:

- 26,275,385 (98.07%) votes in favour of the Company's approach to executive compensation;
- 26,765,995 (99.90%) votes in favour of the amendments to the Company's articles;
- 26,771,372 (99.92%) votes in favour of the amendments to the Company's by-laws; and
- 26,384,999 (98.50%) votes in favour of the adoption of the Company's shareholder rights plan.
