Purchase price:  eight cents

Warrants:  2,868,550 share purchase warrants to purchase 2,868,550 shares

Warrant exercise price:  12 cents for a two-year period

Number of placees:  10 placees

Aggregate existing insider involvement:  one insider, 50,000 shares

Finder's fee:  $4,560, 57,000 warrants

Finder's warrants terms:  Each warrant entitles the holder to purchase one common share at the price of 12 cents for a period of two years from the date of issuance.

The company issued a news release on Jan. 30, 2024, confirming closing of the private placement.
