Mr. David Greenway reports

DAVID GREENWAY ACQUIRES SECURITIES OF BAM BAM RESOURCES CORP.

David Greenway has acquired ownership and control of 6.25 million common shares of Bam Bam Resources Corp. The subject shares represented approximately 3.33 per cent of all issued and outstanding common shares of the company as of Jan. 17, 2022, immediately following the transaction described above, resulting in a corresponding increase in the percentage of shares held by Mr. Greenway and his joint actors as a result of the transaction.

Immediately before the transaction described above, Mr. Greenway and the joint actors held 15,853,000 common shares of the company and convertible securities, entitling Mr. Greenway and the joint actors to acquire an additional 28,338,000 common shares of the company representing approximately 8.44 per cent of the issued and outstanding common shares of the company (or approximately 23.53 per cent on a partially diluted basis, assuming exercise of the preconvertible securities only).

Immediately following the transaction described above, Mr. Greenway and the joint actors held an aggregate of 22,103,000 common shares and convertible securities, entitling Mr. Greenway and the joint actors to acquire an additional 22,088,000 common shares of the company, representing approximately 11.77 per cent of the issued and outstanding common shares of the Company (or approximately 23.53 per cent assuming exercise of such postconvertible securities only).

The subject shares were acquired through the conversion of restricted share units and not through the facilities of any stock exchange. The holdings of securities of the company by Mr. Greenway and the joint actors are managed for investment purposes. Mr. Greenway and the joint actors may from time to time acquire additional securities of the company, dispose of some or all of the existing or additional securities they hold or will hold, or may continue to hold their current positions.

Section 2.3 of National Instrument 45-106 was relied on to acquire the restricted share units.
