These proceeds are expected to support the company's integrated 360-degree strategy across the battery metal value chain, encompassing exploration, rebalancing and recycling, and the continued advancement of next-generation solutions that contribute to the global clean energy transition. The securities issued under the private placement will be subject to a statutory hold period expiring Dec. 13, 2026.

The remaining portion of the private placement is expected to close, in whole or in part, in one or more additional tranches on or before Sept. 4, 2026, subject to compliance with the policies of the Canadian Securities Exchange. There can be no assurance that any additional tranche of the private placement will be completed, in whole or in part, or within the time frame currently anticipated.
