--->at a price of $1.00 per share over the facilities of the TSX Venture Exchange and subscribed for 5,750,000 common shar
--->es from Axion at a price of $1.00 per Share (the "Swap").
Ms. Nithinan Boonyawattanapisut is the sole director of Cern One and owns 100% of the outstanding voting securities of
---> Cern One. As such, the Axion common shares held by Cern One should be considered to be under the control and directio
--->n of Ms. Boonyawattanapisut.
Subsequent to the swap, the Seller continues to own 70,593,540 common shares, which represents approximately 28.8% of 
--->Axion's issued and outstanding common shares on an undiluted and partially diluted basis. 16,845,287 of Cern One's 70,
--->593,540 common shares remain deposited in performance escrow, only to be released to Cern One subject to financial per
--->formance targets being attained by Axion Games Limited as described in Cern One's initial report on Form 62-103F1 date
