The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Dec. 22, 2023.

Number of shares:  11,666,670 shares

Purchase price:  six cents per share

Warrants:  5,833,335 share purchase warrants to purchase 5,833,335 shares

Warrant exercise price:  12 cents for a two-year period

Number of placees:  24 placees

Total existing insider involvement:  520,000 (two insiders)

Total pro group involvement:  one million (one pro group)

Finder's fee:  not applicable

The company issued a news release on Dec. 22, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
