NEWS RELEASE EARLY WARNING REPORT ISSUED PURSUANT TO NI 62-103

ACQUISITION OF SECURITIES OF ATMOFIZER TECHNOLOGIES INC.

July 23, 2026

TORONTO, ONTARIO On July 22, 2026, 1000516271 Ontario Inc. (the "Acquiror") acquired direct ownership of 2,800,000 common shares (the "Common Shares") of Atmofizer Technologies Inc. (the "Company") at a deemed price of C$0.05 per Common Share, for aggregate consideration of C$140,000. The Common Shares were issued in full and final settlement of indebtedness owed by the Company to the Acquiror pursuant to a shares-for-debt agreement dated July 22, 2026 (the "Acquisition").

Prior to the Acquisition, the Acquiror did not beneficially own, or exercise control or direction over, any equity securities of the Company. After giving effect to the Acquisition, the Acquiror beneficially owns or controls an aggregate of 2,800,000 Common Shares, representing approximately 15.9 % of the issued and outstanding Common Shares.

The Common Shares were acquired in settlement of indebtedness owed by the Company to the Acquiror and are being held for investment purposes. The Acquiror may, from time to time, increase or decrease its ownership or control of securities of the Company as it may determine appropriate based on market conditions, investment opportunities and other relevant factors.
