Toronto, Ontario--(Newsfile Corp. - July 29, 2026) - Athena Gold Corporation (CSE: ATHA) (OTCQB: AHNRF) ("Athena" or the "Company") announces the results from its Annual General and Special Meeting of Shareholders held on Friday, July 24, 2026 (the "Meeting"). Shareholders holding a total of 13,511,075 common shares were represented in person or by proxy at the Meeting, representing 37.72% of the vote attached to all outstanding common shares of the Company as of the record date. Shareholders voted in favour of all the matters submitted before the Meeting as set out in the Management Information Circular dated June 9, 2026, including:
- Setting the number of directors of the Company for the ensuing year at five;
- The election of David Goodman, Koby Kushner, John C. Power, John E. Hiner and Brian Power as directors of the Company, to hold office until the next annual general meeting of shareholders or until their successors are elected or appointed;
- The reappointment of Davidson & Company LLP as the Company's auditors for the ensuing year, with the directors authorized to fix the auditor's remuneration; and
- The adoption of the Company's 2026 Stock Option Plan to replace the fixed Equity Incentive Plan.
Subsequent to the Meeting, the Board appointed David Goodman as Chairman of the Board, Koby Kushner as President and Chief Executive Officer, Ty Minnick as Chief Financial Officer, and John C. Power as Corporate Secretary. John E. Hiner (Chair), John C. Power and Brian Power were appointed as members of the Audit Committee.
