Number of shares:  6,445,939 common shares

Purchase price:  30 cents per share

Warrants:  6,445,939 share purchase warrants to purchase 6,445,939 shares

Warrant exercise price:  50 cents per share for a 24-month period

Number of placees:  14 placees

Total existing insider involvement:  3,161,272 (four insiders)

Finder's fee:  $50,700 cash

The company issued a news release on Oct. 23, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
