Warrants:  9,253,811 share purchase warrants to purchase 9,253,811 shares

Warrant exercise price:  75 cents for a three-year period

Number of placees:  25 placees

Total existing insider involvement:  7,413,236 (one insider)

Finder's fee:  $24,037.11 cash and 52,252 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share and a one common share purchase warrant (with the same terms as the private placement warrant) at the price of 46 cents for period of 36 months from the date of issuance.

The company issued a news release on May 19, 2023, confirming the closing of the private placement.
