Ares Strategic Mining Inc. is completing a plan of arrangement, consisting of a sale and transfer of all of the issuer's interest in its Liard and Vanadium Ridge properties (the spinout properties) to Enyo Strategic Mining Inc., a wholly owned subsidiary of the issuer, in exchange for approximately 13,777,000 common shares of Enyo (the Enyo spinout shares).

The transaction will, among other things: (i) rename and redesignate its common shares (the Ares current shares) as Class A common shares without par value; and (ii) amend the authorized share structure of the issuer to create a new class of shares (the new Ares shares) consisting of an unlimited number of common shares without par value with terms and special rights and restrictions identical to those of the Ares current shares immediately prior to the closing of the transaction.

Each Ares current share held by the issuer's shareholders of record on Sept. 14, 2023, will be exchanged for one new Ares share and 0.1 of an Enyo spinout share.
