The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Aug. 29, 2023.

Number of shares:  two million shares

Purchase price:  10 cents per share

Warrants:  two million share purchase warrants to purchase two million shares

Warrant exercise price:  12 cents for a two-year period, subject to an acceleration clause

Number of placees:  seven placees

Total existing insider involvement:  195,000 (one insider)

Total pro group involvement:  150,000 (one pro group)

Finder's fee:  $11,000 cash and 110,000 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 12 cents for period of two years from the date of issuance.

The company issued a news release on Aug. 29, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
