ANONYMOUS INTELLIGENCE COMPANY ANNOUNCES POST-CONSOLIDATION PRIVATE PLACEMENT

Further to Anonymous Intelligence Company Inc.'s news release dated Feb. 20, 2024, it intends to complete a non-brokered private placement consisting of up to 16 million units of the company on a postconsolidation basis at a price of five cents per unit for gross proceeds of up to $800,000.

As announced on Feb. 20, 2024, the company will be consolidating of all of its issued and outstanding common shares on the basis of 10 preconsolidated common shares for one postconsolidated common share. The proposed share consolidation remains subject to the approval of the Canadian Securities Exchange (the CSE).

In the offering, each unit will consist of one common share in the capital of the company and one share purchase warrant. Each warrant will entitle the holder to purchase one share at a price of 10 cents per share for a period of two years from the closing date of the offering. In the event that the shares trade at a price of 25 cents and above for 10 consecutive trading days, the company may, at its option, accelerate the warrant expiry date by providing notice to the warrant holders by way of a news release that the warrants will expire on the 30th day from the date of the acceleration notice.

The company intends to use the net proceeds from the offering for working capital and general corporate purposes.

The closing date of the offering is subject to the completion of the share consolidation and certain conditions, including, but not limited to, the receipt of all necessary regulatory and other approvals.
