                                    CLOSES PRIVATE PLACEMENT

SEXSMITH, AB (April 20, 2018) ANGKOR GOLD CORP. (TSXV: ANK and OTC: ANKOF) ("Angkor" or "the Company") the
"Company") is pleased to announce it has closed a private placement of 582,750 units (each, a "Unit") at a price of
$0.20 per Unit (the "Financing"). Each Unit consists of one common share in the capital of the Company (each, a
"Common Share") and one transferable warrant (each, a "Warrant"), with each full Warrant entitling the holder to
purchase one additional Common Share at a price of $0.25 per Common Share for a period of two years and are subject
an acceleration clause. Proceeds of the financing are anticipated to be used for general working capital.

All securities issued in the financing are subject to a statutory hold period expiring four months and one day after
closing.

None of the securities issued in the financing will be registered under the United States Securities Act of 1933, as
amended (the "1933 Act"), and none of them may be offered or sold in the United States absent registration or an
