The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Aug. 28, 2023.

Number of shares:  19.2 million common shares

Purchase price:   five cents per common share

Warrants:  19.2 million share purchase warrants to purchase 19.2 million shares

Warrant exercise price:  15 cents per share for a period of 12 months from the date of closing, subject to an accelerated expiry provision

Number of placees:  26 placees

Aggregate existing insider involvement:  three insiders, 1,133,333 common shares

Aggregate pro group involvement:  two groups, 1,500,333 common shares

The company issued a news release on Oct. 24, 2023, confirming the closing of the private placement.
