ALMA GOLD ANNOUNCES PRIVATE PLACEMENT

Alma Gold Inc. intends to complete a non-brokered private placement of up to 15 million units, to be issued at a price of eight cents per unit, for gross proceeds up to $1.2-million. Each unit will comprise one common share and one transferable common share purchase warrant. Each warrant will entitle the holder thereof to acquire one additional share at a price of 15 cents for a period of five years from closing.

Proceeds received from the private placement will be used for general working capital purposes, including potential strategic initiatives currently under consideration.

All securities will be will be subject to a statutory hold period of four months and one day from issuance. The company does not intend to pay any finders' fees on the private placement.
