2026-11-04 02:55 ET - News Release

Mr. Amardeep Purewal, a shareholder, reports

1510993 B.C. LTD. FILES AMENDED EARLY WARNING REPORT IN RESPECT OF ALLEGIANCE RESOURCES CORP.

1510993 B.C. Ltd. (the acquiror), a company wholly owned by Amardeep Singh Purewal, has filed an amended early warning report to correct the early warning reports and news releases filed by the acquiror on Oct. 23, 2026, and Oct. 26, 2026, in respect of common shares of Allegiance Resources Corp. (formerly Pegmatite One Lithium and Gold Corp.), whose common shares trade on the Canadian Securities Exchange under the symbol ALLG.

The prior disclosure did not include 65,087 common shares held by Mr. Purewal through his registered retirement savings plan, his locked-in retirement account, and A. Purewal Developments & Consulting Ltd., a company controlled by Mr. Purewal, and incorrectly reported certain transactions and holdings. The corrected information is set out below.

On June 26, 2026, the acquiror acquired 925,925 units of the issuer at a price of 13.5 cents per unit in a non-brokered private placement. Each unit consists of one common share and one common share purchase warrant, with each warrant exercisable to acquire one common share at a price of 20 cents until June 26, 2028. Immediately after the private placement, the acquiror and the joint actors held 1,479,247 common shares and 925,925 warrants, representing approximately 11.39 per cent of the 12,985,390 common shares then outstanding on a non-diluted basis and approximately 17.29 per cent on a partially diluted basis, and not 1,414,250 common shares (approximately 10.89 per cent and 16.82 per cent) as previously reported.

Between June 27, 2026, and Oct. 21, 2026, the acquiror acquired a net 337,118 common shares, including 294,118 common shares acquired by private agreement at a price of 10 cents per common share, and Mr. Purewal acquired 20,500 common shares directly, and not 352,528 common shares and 21,000 common shares, respectively, as previously reported. The Sept. 16, 2026, private purchase increased the holdings of the acquiror and the joint actors from 1,548,747 common shares (approximately 11.34 per cent on a non-diluted basis and 16.98 per cent on a partially diluted basis) to 1,842,865 common shares (approximately 13.50 per cent and 18.99 per cent), based on 13,652,057 common shares outstanding.

On Oct. 22, 2026, the acquiror sold 825,353 common shares in the open market for gross proceeds of $71,651.67, being an average price of approximately 8.68 cents per common share, and not 422,779 common shares as previously reported. Immediately before the sale, the acquiror and the joint actors held 1,836,865 common shares and 925,925 warrants, representing approximately 13.45 per cent of the 13,652,057 common shares outstanding on a non-diluted basis and approximately 18.95 per cent on a partially diluted basis. Immediately after the sale, they held 1,011,512 common shares and 925,925 warrants, representing approximately 7.41 per cent on a non-diluted basis and approximately 13.29 per cent on a partially diluted basis.

Between Oct. 27, 2026, and Oct. 29, 2026, the acquiror and Mr. Purewal sold a further 115,500 common shares in the open market. The acquiror and the joint actors currently hold 896,012 common shares and 925,925 warrants, representing approximately 6.56 per cent of the 13,652,057 common shares outstanding on a non-diluted basis and approximately 12.50 per cent on a partially diluted basis, assuming the exercise of the warrants only. The acquiror is also a party to an asset purchase agreement with the issuer dated Sept. 27, 2026, under which it is entitled to receive 225,000 common shares on closing, expected on or about Nov. 5, 2026. Following closing, and assuming no other changes, the acquiror and the joint actors are expected to hold approximately 7.55 per cent of the outstanding common shares on a non-diluted basis and approximately 12.97 per cent on a partially diluted basis.

The prior disclosure stated that the acquiror and Mr. Purewal had ceased to be insiders of the issuer. That statement was incorrect. Mr. Purewal has beneficial ownership of, or control or direction over, directly or indirectly, securities of the issuer carrying more than 10 per cent of the voting rights attached to all of the issuer's outstanding voting securities on a postconversion basis. As a result, Mr. Purewal is a significant shareholder based on postconversion beneficial ownership and remains a reporting insider of the issuer, as those terms are defined in Section 1.1 of National Instrument 55-104 (Insider Reporting Requirements and Exemptions).

The acquiror and the joint actors hold the securities of the issuer for investment purposes and may, depending on market conditions and other factors they consider relevant, increase or decrease their ownership of, or control or direction over, securities of the issuer through market transactions, private agreements, exercises of the warrants or otherwise.

This news release is being issued pursuant to the requirements of National Instrument 62-103 (the Early Warning System and Related Take-Over Bid and Insider Reporting Issues), which requires a report to be filed on SEDAR+ containing additional information with respect to the foregoing matters. A copy of the amended early warning report to which this news release relates will be available on the issuer's SEDAR+ profile.
