ALERIO GOLD ANNOUNCES NON-BROKERED OFFERING

Alerio Gold Corp. has arranged a non-brokered private placement of up to 50 million units at a price of two cents per unit for gross proceeds of up to $1-million.

Each unit will consist of one common share in the capital of the company and one-half of one share purchase warrant. Each whole warrant will entitle the holder thereof to acquire one additional share at a price of five cents per share for a period of 24 months from the date of issuance.

In addition to other parties, the offering will be made available to all existing shareholders of the company who held at least one share on May 15, 2025, and continue to hold such share(s) on the date the offering is closed.

The company plans to use the proceeds of the offering for general working capital and exploration of the company's mineral properties.

If the company receives aggregate subscriptions for more than 50 million units, the company will allocate the units to the subscribers pro rata based on their subscription amounts such that an aggregate of 50 million units are issued upon closing of the offering.

In connection with the offering, the company may pay finders' fees of up to 8 per cent of the gross proceeds raised from the sale of units.

All securities issued in connection with the offering will be subject to a four-month-and-one-day statutory hold period in accordance with applicable securities laws.
