A-LABS CAPITAL IV CORP. ANNOUNCES LETTER OF INTENT

A-Labs Capital IV Corp. has entered into a letter of intent dated Nov. 10, 2023, with SolarTempel GmbH, a private solar energy company located in Germany.

Pursuant to the terms of the LOI, the corporation, subject to customary conditions, including entering into a definitive agreement with SolarTempel, has agreed to combine with SolarTempel by way of a share exchange or other similar form of transaction. The transaction is an arm's-length transaction and, when completed, is intended to constitute A-Labs' qualifying transaction for the purposes of the exchange, with the shares of the resulting issuer of the transaction being listed on the exchange and such resulting issuer carrying on the business of SolarTempel. The corporation has requested that its common shares be halted by the exchange pending closing of the transaction.

This is an initial news release. The corporation intends to issue a further news release once it has entered into the transaction agreement, which will provide further details regarding the transaction. Completion of the transaction is subject to a number of conditions, including exchange acceptance and the execution of the transaction agreement.
