CLEAN AIR METALS ANNOUNCES CLOSING NON-BROKERED PRIVATE PLACEMENT OF FLOW-THROUGH SHARES

Clean Air Metals Inc. has closed the previously announced non-brokered private placement of 2.5 million flow-through (FT) common shares at a price of six cents per FT share, to raise aggregate gross proceeds of $150,000. The FT shares will qualify as flow-through shares within the meaning of Subsection 66(15) of the Income Tax Act (Canada).

Proceeds from the offering will be used to advance development and exploration activities at the company's Thunder Bay North critical minerals project and other Canadian exploration expenses that qualify as flow-through mining expenditures (as such terms are defined in the tax act).

The offering remains subject to final acceptance by the TSX Venture Exchange. All securities issued pursuant to the offering will be subject to a four-month plus a day hold period expiring on Feb. 10, 2027, in accordance with applicable securities legislation and policies of the TSX-V.
