AI/ML INNOVATIONS INC. ANNOUNCES PROPOSED PRIVATE PLACEMENT

AI-ML Innovations Inc. is proposing to complete a non-brokered private placement pursuant to which the company will issue up to 40 million units at a price of five cents per unit to raise aggregate gross proceeds of up to $2-million. Each unit will comprise one common share of the company and one common share purchase warrant. Subject to the anti-dilution provisions that will be contained in the certificates governing the terms of the warrants, each whole warrant shall be exercisable to acquire one common share at a price of 15 cents for a period of 60 months from the date of issuance of the warrants.

The offering remains subject to various closing conditions, including the approval of the Canadian Securities Exchange. The company may pay cash finders' fees to eligible finders assisting in the offering and issue such number of broker warrants as is equal to up to 7 per cent of the aggregate number of units issued, with each broker warrant entitling the holder to acquire one common shares at an exercise price of 15 cents for a period of five years.
