ALPHAGEN CLOSES PRIVATE PLACEMENT OF $2.5 MILLION

Alphagen Intelligence Corp. has closed its previously announced non-brokered private placement offering with the issuance of 10 million units of the company at a price of 25 cents per unit for aggregate gross proceeds of $2.5-million.

Each unit consists of one common share of the company and one-half of one share purchase warrant, with each whole share purchase warrant entitling the holder thereof to acquire one additional share at a price of 40 cents per warrant share for a period of two years from the date of issuance.

The company intends to use the net proceeds raised from the offering for general working capital purposes. All securities issued pursuant to the offering are subject to a statutory four-month hold period, expiring May 17, 2026, in accordance with applicable securities legislation. In connection with the closing of the offering, an aggregate of $39,500 was paid in cash as finders' fees, the company also issued 158,000 finders' warrants, each warrant entitling the holder to acquire one warrant share at a price of 40 cents per warrant share for a period of two years from the date of issuance.
