SILVER47 ANNOUNCES AGM RESULTS FROM ITS ANNUAL GENERAL AND SPECIAL MEETING OF SHAREHOLDERS

Silver47 Exploration Corp. has released the results of its annual general and special meeting of shareholders held on Jan. 21, 2026, in Vancouver, B.C. Shareholders voted in favour of all matters and business before the meeting.

The shareholders elected Gary R. Thompson, Galen McNamara, Thomas O'Neill and Ryan Goodman as directors of the company.

The shareholders also approved: (i) the appointment of MNP LLP as the auditor of the company for the ensuing year and authorized the board of directors to fix the remuneration of the auditor; and (ii) the adoption of an omnibus incentive plan.

The omnibus plan is a 10-per-cent rolling plan, pursuant to which the board of directors may grant to eligible participants stock options, restricted share units, performance share units and deferred share units to acquire common shares of the company. An aggregate of 20,798,878 shares are issuable under the omnibus plan, representing 10 per cent of the issued and outstanding shares as of Jan. 21, 2026. The omnibus plan replaces the previous 10-per-cent rolling share compensation plan.
