AFFINOR GROWERS ANNOUNCES CLOSING OF SECOND
AND FINAL TRANCHE OF UNIT FINANCING
Further to its news releases dated
Aug. 10, 2026, and Sept. 1, 2026, Affinor Growers Inc. has completed a second and final tranche of its non-brokered
private placement issuing 1,775,000 units of the company at a price of four cents unit for gross
proceeds of $71,000. Each unit consists of one common share in the capital of the company and one share purchase warrant. Each warrant will entitle the holder thereof to acquire one
additional share at a price of 10 cents per warrant share for a period of 24 months from
the date of distribution.
Over the two tranches, the company issued an aggregate of 2,525,000 units for total gross proceeds of
$101,000.
The company intends to use the net proceeds from the private placement for general working capital
purposes.
No finders' fees were paid in connection with the financing.
An insider of the company participated in the financing and was issued an aggregate of 900,000 units for
gross proceeds of $36,000. The issuance constitutes a related party transaction as defined in
Multilateral Instrument 61-101, Protection of Minority Securityholders in Special Transactions. The company is relying on the exemption from valuation requirement and minority
approval pursuant to subsections 5.5(a) and 5.7(1)(a) of MI 61-101, respectively, as the securities
do not represent more than 25 per cent of the company's market capitalization, as determined in
accordance with MI 61-101.
All securities issued in connection with the private placement will be subject to a statutory hold period of
four months and one day following the date of issuance in accordance with applicable Canadian securities
laws.
The company would also like to announce that, further to its news release dated Sept. 16, 2026, the
exercise price of the 500,000 stock options issued has been amended to 5.5 cents per share.
