AEON STRATEGIES LTD. PROVIDES UPDATE ON ANTICIPATED LATE FILING OF ANNUAL FINANCIAL STATEMENTS

Aeon Strategies Ltd. (formerly Cloud3 Ventures Inc.) has provided an update to its news release dated Oct. 23, 2026, regarding the anticipated late filing of its audited annual financial statements for the year ended June 30, 2026, the related management's discussion and analysis, and the related chief executive officer and chief financial officer certifications. The default announcement stated that the company expected to file the annual filings on or before Dec. 4, 2026. The company's auditor, Davidson & Company LLP, has since advised that it estimates the audit will be completed and the annual filings will be filed on or before Dec. 31, 2026.

As previously announced, the delay is due to: (i) the limited availability of the auditor; and (ii) the additional time required to complete audit procedures relating to the company's crypto-related investments, which are more complex than in prior years. The auditor remains engaged, and the company is working with the auditor to complete the audit.

The company has applied to the Ontario Securities Commission, as principal regulator, for a management cease trade order under National Policy 12-203 (Management Cease Trade Orders). If granted, the MCTO will prohibit the company's chief executive officer and chief financial officer from trading in the company's securities until the annual filings are filed and the MCTO is revoked. The MCTO generally will not affect the ability of other shareholders to trade in the company's listed subordinate voting shares. There is no assurance that the MCTO will be granted. If the MCTO is not granted, the securities regulators may issue a general cease trade order prohibiting all trading in the company's securities.

Until the annual filings are filed, the company will comply with the alternative information guidelines set out in NP 12-203. These guidelines require the company to issue biweekly default status reports by way of news release for so long as the annual filings remain outstanding.
