ADAPTOGENICS HEALTH CORP. ANNOUNCES CLOSING OF OVER SUBSCRIBED NON-BROKERED PRIVATE PLACEMENT

Adaptogenics Health Corp., further to its news release dated Aug. 14, 2026, has closed its oversubscribed non-brokered private placement of 4,087,500 common shares at a price of eight cents per share for aggregate gross proceeds of $327,000. The company had originally announced the private placement for gross proceeds of up to $320,000.

The company intends to use the net proceeds from the private placement for general working capital purposes. No finders' fees were paid in connection with the private placement.

Two directors of the company acquired, directly, an aggregate of 750,000 shares under the private placement for aggregate gross proceeds of $60,000. The participation by the directors in the private placement constitutes a related party transaction within the meaning of Multilateral Instrument 61-101, Protection of Minority Security Holders in Special Transactions. The company is relying on the exemptions from the formal valuation and minority shareholder approval requirements of MI 61-101 contained in sections 5.5(a) and 5.7(1)(a), respectively, as neither the fair market value of the shares issued to the directors, nor the consideration paid by the directors, exceeds 25 per cent of the company's market capitalization.

All securities issued pursuant to the private placement are subject to a holder period of four months plus one day as required under applicable securities legislation, which expires on Jan. 29, 2027.
