AD4 CAPITAL CORP. TERMINATES PROPOSED QUALIFYING TRANSACTION

AD4 Capital Corp. has terminated the letter of intent dated April 13, 2023, pursuant to which it was to acquire all of the issued and outstanding shares of EEL Energy Ltd., as announced by news release dated April 14, 2023, as a result of certain milestones not having been met by EEL.

Additional information

In accordance with the policies of the TSX Venture Exchange, AD4's common shares are currently halted from trading, although AD4 will be applying to the exchange for the reinstatement of its common shares for trading subsequent to the dissemination of this news release.

AD4 intends to review various other potential acquisitions that would constitute a qualifying transaction pursuant to the provisions of TSX-V Policy 2.4; further information in that regard will be provided in due course.
