(the "Company" or "Auscan") (TSX-V: ACR.H) announces that further to a price reservation filed in December 2023 it has arranged a non-brokered private placement financing of up to 640,000 units (each a "Unit") at $0.13 per Unit to raise up to $83,200. Each Unit will comprise one common share (a "Share") and one-half of a common share purchase warrant, with each whole warrant (a "Warrant") entitling the holder to purchase an additional share for a period of two years at a price of $0.17. The Warrants will have restrictions which will prohibit exercise in certain circumstances. Insiders will be participating in this financing and proceeds will be used for working capital purposes. The financing is subject to acceptance of filings with the TSX Venture Exchange.
