The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on April 4, 2023, and April 18, 2023.

Number of shares:  five million shares

Purchase price:  10 cents per share

Warrants:  five million share purchase warrants to purchase five million shares

Warrant exercise price:  15 cents for a four-year period

Number of placees:  17 placees

Total existing insider involvement:  750,000 (two insiders)

Finder's fee:  $1,050 cash and 10,500 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 15 cents for period of four years from the date of issuance.

The company issued a news release on May 23, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
