ANGOLD RESOURCES ANNOUNCES US PROJECTS SALE

Angold Resources Ltd. has entered into a definitive assignment and assumption agreement, dated May 9, 2023, to assign its interests in the Iron Butte and Hope Butte projects to Lode Metals Corp. in consideration for the issuance of 10 million common shares of Lode. Following completion of the transaction, Lode will assume all obligations associated with the projects.

The company is at arm's length from Lode, and no finders' fees or commissions are payable in connection with the entering into of the definitive agreement. The consideration shares will be subject to an escrow arrangement, during which time they may not be traded, for a period for 12 months following issuance. Completion of the transaction remains subject to customary closing conditions, including any required regulatory approvals.
