Effective at the open on Wednesday, Feb. 18, 2026, the common shares of AAJ Capital 3 Corp. will resume trading on the TSX Venture Exchange, a news release having been issued on Feb. 9, 2026, announcing that the proposed acquisition of XRP Healthcare M&A Holding Inc., pursuant to a share exchange agreement dated July 14, 2025, among the company, XRP Healthcare and the XRP Healthcare shareholders, as previously announced on dated May 19, 2025, and July 16, 2025, has been terminated.

This transaction was intended to constitute the company's qualifying transaction as defined in exchange Policy 2.4.
